THESE TERMS OF USE (“TERMS OF USE” or “TERMS”) GOVERN YOUR USE OF THE PLANSOURCE BENEFITS ADMINISTRATION, INC. (“PLANSOURCE”) WEBSITE(S) (THE “PLANSOURCE WEBSITE” OR “WEBSITE”). BY ACCESSING AND USING THIS WEBSITE, YOU ARE INDICATING YOUR ACKNOWLEDGMENT AND ACCEPTANCE OF THESE TERMS OF USE. IF YOU DO NOT AGREE WITH THESE TERMS OF USE, PLEASE DO NOT ACCESS THE PLANSOURCE SITE. 

PlanSource may make changes to these Terms at any time and in our sole discretion. The “Last Updated” date at the top of these Terms will serve as a notice to you of the changes. Unless we say otherwise, the amended Terms will be effective immediately, and your continued use of the Website will confirm your acceptance of the changes. If you do not agree to the amended Terms, you must stop using our Website.  

We may offer visitors to the PlanSource Website the opportunity to participate in additional features or services through the PlanSource Website. Some of these features or services may require you to enter into other agreements or authorizations in addition to these Terms before you can use those features or services. 

If you are a participant in the PlanSource Services, your use of the Services is governed by the Acceptable Use Policy.  

Eligibility 

You must be at least sixteen (16) years old to use our Website. If you use our Websites on behalf of another person or entity, (a) all references to “you” throughout these Terms will include that person or entity, (b) you represent that you are authorized to accept these Terms on that person’s or entity’s behalf, and (c) in the event you or the person or entity violates these Terms, the person or entity agrees to be responsible to us. If you are a parent or legal guardian of a user under the age of 18 (or the age of legal majority), you will be fully responsible for the acts or omissions of such user in relation to our Website.  

Access and Use  

Subject to these Terms, you may use the Website and its content for your personal, non-commercial purposes. You agree not to access the Website by any means other than the interface provided by PlanSource. You will not use the Website for any purpose that is unlawful or prohibited by these Terms.  

Prohibited Activities  

You agree not to engage in any activities that may damage PlanSource, its customers, licensors, or Services, including, but not limited to:  

• Engage in any harassing, threatening, intimidating, predatory, or talking conduct;  
• Use or attempt to use another user’s account information, share your login information with another person or user, or otherwise allow any other person or entity to use your account, without authorization from that user and PlanSource;  
• Impersonate or post on behalf of any person or entity you are not authorized to represent, or otherwise misrepresent your affiliation with a person or entity;  
• Sell, resell, or commercially use our Website or Services;  
• Copy, reproduce, distribute, publicly perform or publicly display all or portions of our Website, except as expressly permitted by PlanSource or our licensors;  
• Modify our Website or otherwise make any derivative works based upon our Website;  
• Use our Website in any manner that could interfere with, disrupt, negatively affect or inhibit other uses from fully enjoying our Website or that could damage, disable, overburden, or impair the functioning of our Website in any manner;  
• Decompile, reverse engineer, or disassemble any aspect of our Website or do anything that might discover source code or bypass or circumvent measures employed to prevent or limit access to any part of our Website;  
• Use any data mining, robots, or similar data gathering or extraction methods designed to scrape or extract data from our Website;  
• Develop or use any applications that interact with our Website without our prior written consent;  
• Send, distribute, or post spam, unsolicited, or bulk commercial electronic communications, chain letter, or pyramid schemes;  
• Link to any online portion of the Website in a manner that damages or exploits our reputation or suggests any form of association, approval, or endorsement by us; or 
• Use our Website for any illegal or unauthorized purpose, or engage in, encourage, or promote any activity that violates these Terms. 

Ownership; Limited License  

The Website, including the text, graphics, images, photographs, videos, illustrations, and other content contained therein, is owned by PlanSource or our licensors and is protected under both domestic and foreign laws. Except as explicitly stated in these Terms, all rights in and to the Website are reserved by us or our licensors. Subject to your compliance with these Terms, you are hereby granted a limited, nonexclusive, nontransferable, non-sublicensable, revocable license to access and use our Website for your evaluation of our products and services or use of our products and services under your or your employer’s agreement with PlanSource. Any use of the Website other than as specifically authorized herein, without our prior written permission, is strictly prohibited, will terminate the license granted herein and violate our intellectual property rights.  

Copyright and Trademarks 

You acknowledge that the PlanSource Website contains PlanSource intellectual property, which includes copyrighted materials as well as trademarks and service marks that are owned by PlanSource, their related entities and affiliates, or third parties. Nothing contained on the Website will be construed as conferring any right to any intellectual property, including copyright, trademark, or other proprietary interest of PlanSource, their related entities or affiliates, and/or any third party to you. You agree not to infringe upon any intellectual property and will not alter or remove any intellectual property notification, including copyright, trademark, or any other notice from any PlanSource intellectual property. 

Third-Party Content 
PlanSource may provide information about or links to third party products or services, or we may allow third parties to make their content and information available on or through the Website (collectively, “Third-Party Content”). PlanSource does not control or endorse any Third-Party Content and makes no representations or warranties regarding any Third-Party Content, including the accuracy, validity, timeliness, completeness, reliability, integrity, quality, legality, usefulness, or safety of Third-Party Content. Your access to and use of such Third-Party Content is at your own risk. PlanSource will not be held responsible or liable, directly or indirectly, for any loss or damage caused or alleged to have been caused in connection with Third-Party Content.  

Privacy 
The PlanSource Privacy Policy, which is hereby incorporated into these Terms of Use by reference, governs how PlanSource obtains, uses, shares, and protects your personal information. 
 

User Submissions 

You acknowledge and agree that by providing PlanSource with any personal information through the Website, you consent to the transmission of such personal user information as necessary for processing in accordance with PlanSource’s standard business practices and the PlanSource Privacy Policy. Except as otherwise provided in our Privacy Policy and except as otherwise covered in the PlanSource Services Agreement, any material, information, ideas, concepts, know-how, techniques, or other communication you transmit to us by any means (“User Submissions”) will be deemed non-confidential and non-proprietary. We will have no obligations with respect to User Submissions. We and our designees will be free to copy, disclose, distribute, incorporate, and otherwise use User Submissions and all data, images, sounds, text, and other things embodied therein for any and all commercial or noncommercial purposes. 

Disclaimer of Warranties 

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ALL INFORMATION, SERVICES, SOFTWARE AND CONTENT AVAILABLE THROUGH THE WEBSITE, AND THE WEBSITE ITSELF, ARE FURNISHED FOR GENERAL INFORMATIONAL PURPOSES ONLY, AND ARE FURNISHED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY IMPLIED OR EXPRESSED WARRANTY OF ANY KIND (INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SUITABILITY, SECURITY, CORRECTNESS AND NON-INFRINGEMENT). PLANSOURCE AND ITS AFFILIATES, LICENSORS, SUPPLIERS OR ANY THIRD PARTIES MENTIONED AT THE WEBSITE (COLLECTIVELY THE “PLANSOURCE PARTIES”) MAKE NO REPRESENTATION OR WARRANTY REGARDING, ARE NOT RESPONSIBLE FOR, AND DISCLAIM ALL LIABILITY FOR, THE CONTINUED AVAILABILITY, RELIABILITY, ACCURACY, RESULTS OR PERFORMANCE OF THE WEBSITE OR ANY MATERIAL ON THE WEBSITE, THE PERFORMANCE OF THE INTERNET, THE DOWNLOADING COMPATIBILITY OF ANY MATERIALS OR SOFTWARE WITH YOUR COMPUTER SYSTEM, THE EXISTENCE OF ANY VIRUS, WORM, MALICIOUS CODE OR OTHER DISABLING DEVICE FROM ANY SOURCE, THE UNAUTHORIZED ACCESS TO OR USE OF YOUR INFORMATION BY A PARTY OTHER THAN PLANSOURCE, ANY TECHNICAL FAILURES (INCLUDING HARDWARE OR SOFTWARE FAILURES), INCOMPLETE, SCRAMBLED, OR DELAYED COMPUTER TRANSMISSIONS, AND/OR TECHNICAL INACCURACIES, OR LOSS OR USE OF DATA, AS WELL AS UNAUTHORIZED ACCESS OF USER TRANSMISSIONS BY THIRD PARTIES ARISING OUT OF OR RELATED TO THESE TERMS. NO ONE IS AUTHORIZED TO MAKE ANY WARRANTY ON PLANSOURCE’S BEHALF, AND YOU CANNOT RELY ON ANY OTHER STATEMENT OF WARRANTY. YOU ASSUME RESPONSIBILITY FOR THE ACCURACY, APPROPRIATENESS, AND LEGALITY OF ANY INFORMATION YOU SUPPLY TO PLANSOURCE. 

Limitation of Liability 
TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PLANSOURCE, ITS AFFILIATES, ITS LICENSORS, ITS SUPPLIERS OR ANY THIRD PARTIES MENTIONED AT THE WEBSITE BE LIABLE FOR ANY INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION RESULTING FROM THE USE OF OR INABILITY TO USE THE WEBSITE, THE PLANSOURCE SYSTEMS, INFORMATION, SERVICES OR THE CONTENT WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PLANSOURCE IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT PERMITTED BY LAW, THE REMEDIES STATED FOR YOU IN THESE TERMS OF USE ARE EXCLUSIVE AND ARE LIMITED TO THOSE EXPRESSLY PROVIDED FOR IN THESE TERMS OF USE. 

Indemnification 
You agree to indemnify and hold PlanSource harmless from any claims, demands, liabilities, losses, damages, or costs and expenses arising from your use or misuse of the Website or your violation of these Terms. 

Not a Solicitation 
Nothing in the PlanSource Website should be construed as an offer of coverage, solicitation of coverage, summary of coverage or guarantee of coverage from any insurance company or carrier.  

Choice of Law 
The laws of the state of Delaware, without giving effect to its principles of conflicts of law, will govern all disputes arising out of these Terms of Use.  Venue for any claim regarding these Terms of Use will be exclusively in state or federal court located in New Castle County, Delaware. If for any reason, a court of competent jurisdiction finds any provision or portion of these Terms of Use to be invalid or unenforceable, the validity or enforceability of the remainder of these Terms of Use will not in any way be affected or impaired.  

Waiver and Severability 
The failure of PlanSource to exercise or enforce any right or provision of these Terms of Use will not constitute a waiver of such right or provision. If any provision of these Terms of Use is considered to be unenforceable, that provision will be removed and the remaining provisions will remain in full force and effect.

PlanSource Acceptable Use Policy

General Information

This Acceptable Use Policy (“AUP”) is a part of the Services Agreement and governs the usage of products and services provided by PlanSource (the “Services”). This AUP applies to all users, including but not limited to employees, participants, dependents, and third parties who access to or utilize the Services. All capitalized terms used in this AUP that are not otherwise defined herein shall have the meaning ascribed to them in the Services Agreement.

Your Benefits

Any benefits, including confirmation statement(s), displayed via the Services reflect the benefits you elected. These benefits are not effective nor active unless or until your plan sponsor and insurance carrier confirm that you qualify for and meet the eligibility rules of the same. You should not consider your benefit elections effective until you receive written confirmation confirming such elections are effective or active from such third parties. For clarity, PlanSource is not an insurer, agent, or broker of insurance products and has no authority or responsibility regarding the sale or administration of any benefits through the Services or otherwise.

YOUR BEHAVIOR

Management of Your Account and Information

You may need to register and provide certain information to access and use the Services. You are responsible for ensuring the accuracy of your information and maintaining the safety and security of your information. You are also responsible for all activities that occur under your account or password.

Your Behavior

You agree that you will not:

1) Impact the integrity of our Services or our environment, including:

· Probing, scanning, or testing the vulnerability of any system or network that hosts the Services.

· Tampering with, reverse-engineering, circumventing any security or authentication measures of, or attempting to gain unauthorized access to the Services, related systems, or data.

· Modifying, disabling, or compromising the integrity or performance of the Services, related systems, or data; deciphering any transmissions to or from the servers running the Services.

· Overwhelming (or attempting to overwhelm) the PlanSource environment, including by imposing an unreasonably large load on our systems.

2) Partake in inappropriate communications or actions, including:

· Using the Services to generate or send unsolicited communications, advertising, chain letters, or spam.

· Disparaging PlanSource or its partners, vendors, or affiliates.

· Forging, misrepresenting, omitting, or deleting message headers, return mailing information and/or Internet protocol addresses to disguise, conceal, or misidentify the origin of a message or content (including by “spoofing”, “phishing”, manipulating headers or other identifiers, impersonating anyone else, or falsely implying any sponsorship or association with PlanSource or any third party).

· Using anonymous proxy scripts on its servers.

· Accessing or searching any part of the Services by any means other than our publicly supported interfaces (for example, “scraping”).

· Containing viruses, bots, worms, scripting exploits, or other similar materials.

3) Partake in any act or omission that or provide inappropriate content, including posting, uploading, sharing, submitting content that:

· Violates the privacy of others, including publishing or posting other people’s private and confidential information without their express permission, from the Services.

· Uses the Services for any illegal purpose, or in violation of any laws (including without limitation data, privacy, and export control laws).

· Infringes the intellectual property or other rights of PlanSource or others, including any copyright, trademark, patent, trade secret, moral rights, privacy rights of publicity, or any other intellectual property right or proprietary or contractual right.

· Is deceptive, fraudulent, illegal, obscene, defamatory, libelous, threatening, harmful to minors, pornographic (including child pornography, which PlanSource will remove and report to law enforcement, including the National Center for Missing and Exploited Children), indecent, harassing, or hateful.

· Encourages illegal or tortious conduct or that is otherwise inappropriate.

· Attacks others based on their race, ethnicity, national origin, religion, sex, gender, sexual orientation, disability, or medical condition.

In this AUP, the term “content” means: (1) any information, data, text, software, code, scripts, sound, photos, graphics, videos, messages, tags, interactive features, or other materials that you post, upload, share, submit, or otherwise provide in any manner to the Services and (2) any other materials, content, or data you provide to PlanSource or use with the Services. Without affecting any other remedies available to us, PlanSource may permanently or temporarily terminate or suspend a user’s account or access to the services without notice or liability if PlanSource (in its sole discretion) determines that a user has violated this AUP. Any submission of content to PlanSource will be done pursuant to the Agreement between the parties.

Use of Generative AI

You may use generative AI features to submit inputs and receive generated outputs. When using generative AI features, the inputs and outputs are considered your data. You are responsible for your data and will not use the generative AI features in a way that infringes, violates, or misappropriates PlanSource rights or the rights of any third party. You authorize PlanSource to process your data to perform its obligations under the Agreement. Due to the nature of machine learning and technology powering generative AI, outputs may not be unique to you. You are responsible for your use of any output generated by the generative AI functionality, including evaluating the accuracy of such output.
